Terms of Service — Tools

1. Acceptance of Terms

By downloading, installing, or using any Tools app published by UpJoyAP ("we", "us", "our"), currently PDF to Markdown (PDF2MD) (collectively, "the Apps"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Apps.

These Terms work alongside our Privacy Policy, which describes how we handle your data. By using the Apps, you also agree to that Privacy Policy.

2. Description of Services

2.1 PDF to Markdown (PDF2MD)

An offline document-conversion application available on iOS/iPadOS (bundle ID com.upjoyap.pdf2md) that provides:

• On-device conversion of PDF documents (primarily academic papers) into Markdown, including headings, paragraphs, tables, formulas (LaTeX), and figures
• On-device optical character recognition for scanned pages
• A document scanner to create PDFs directly within the app
• Local conversion history with the original PDF, Markdown output, and extracted images
• Export via the share sheet, Files, clipboard, or a user-selected Obsidian-style vault folder
• An optional Share Extension for converting PDFs from other apps
• A free tier (limited pages per document, limited history and batch size) and an optional one-time Pro purchase that removes those limits and unlocks Apple Shortcuts (see Section 8)

All conversion happens entirely on your device — PDF2MD makes no network calls to convert your documents and operates without a server backend.

3. User Eligibility

• The Apps are rated for all ages and are suitable for users of all ages.
• Users under 13 years old (or the applicable age of consent in your jurisdiction) should use the Apps under parental or guardian consent and supervision.
• No account creation or registration is required to use the Apps.
• Users must comply with all applicable laws and regulations in their jurisdiction.
• By using the Apps, you represent that you have the legal capacity to enter into these Terms, or that a parent or guardian has agreed on your behalf.

4. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Apps for personal, non-commercial use only, on devices that you own or control, as permitted by the Apple App Store Terms of Service.

5. Restrictions on Use

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Apps
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Apps
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Apps
• Use the Apps for any unlawful, unauthorized, or commercial purpose
• Use automated tools, bots, scrapers, or robots to interact with the Apps
• Attempt to gain unauthorized access to any part of the Apps, related systems, or networks
• Interfere with or disrupt the integrity or performance of the Apps
• Transfer, sublicense, or assign your rights under these Terms to any third party
• Circumvent, disable, or interfere with any security features of the Apps

6. Your Documents and Content

You keep all rights to the documents you convert and to the Markdown the Apps produce from them. We claim no ownership over your content, and because conversion happens entirely on your device, we never receive a copy of it. You are solely responsible for having the necessary rights to any document you import, scan, or convert.

7. Intellectual Property

7.1 Ownership

All content, features, and functionality of the Apps — including but not limited to the design, graphics, user interface, conversion engine, icons, audio, text, and code — are owned by UpJoyAP and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This does not extend to documents you convert, which remain your own content under Section 6.

7.2 Trademarks

"PDF to Markdown", "PDF2MD", "UpJoyAP", and associated logos are trademarks of UpJoyAP. They may not be used without our prior written permission.

7.3 User Feedback

If you submit any feedback or suggestions about the Apps, you grant us a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and incorporate such feedback into our products and services.

8. In-App Purchases and Payments

PDF to Markdown (PDF2MD) Pro (Lifetime). PDF2MD is free to download and offers a single non-consumable in-app purchase, "PDF2MD Pro", which permanently unlocks full-length conversion, unlimited history, unlimited batch import, and Apple Shortcuts support. The purchase is one-time only — there is no subscription, no recurring charge, and no auto-renewal. It may be restored on any device signed in to the same Apple ID via the app's Restore Purchases option. Prices are displayed in your local currency within the App Store, and all purchases are final unless otherwise required by applicable law. Refund requests should be directed to Apple's refund policy; UpJoyAP does not process refunds directly.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Apps are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.
• We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
• We do not warrant that the Apps will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• We do not warrant that conversion output (including OCR, table, or formula recognition) will be complete or free of errors, and you should verify results before relying on them for important work.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UPJOYAP SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, goodwill, or other intangible losses
• Any damages arising from your use or inability to use the Apps, including inaccuracies in converted output
• Any damages arising from third-party conduct or services referenced by the Apps

In no event shall our total aggregate liability exceed the amount you actually paid for the Apps (if any) in the twelve (12) months prior to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless UpJoyAP and its affiliates, officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Apps
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights, including rights in documents you convert

12. Service Modification and Termination

We reserve the right to:

• Modify, update, suspend, or discontinue the Apps (or any part thereof) at any time, with or without notice.
• Terminate or suspend your access to the Apps at any time for violation of these Terms or any other reason.

Upon termination, the rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) shall continue to apply.

You may terminate this agreement at any time by uninstalling the Apps from your devices.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Effective Date" at the top of this page.
• For material changes, we may provide notice through in-app notifications or app store update notes.
• Your continued use of the Apps after changes are posted constitutes acceptance of the revised Terms.
• If you do not agree to the revised Terms, you must stop using and uninstall the Apps.

14. Informal Resolution

If a dispute arises from or relates to these Terms or the Apps, we encourage you to contact us first at support@upjoyap.com so we can attempt to resolve it informally.

15. App Store Additional Terms

Because the Apps are downloaded from the Apple App Store, the following additional terms apply:

• These Terms are between you and UpJoyAP only, not with Apple Inc.
• Apple has no obligation to provide maintenance or support for the Apps.
• In the event of any failure of the Apps to conform to applicable warranties, you may notify Apple for a refund (if applicable); beyond that, Apple has no other warranty obligation.
• Apple is not responsible for addressing any claims relating to the Apps, including product liability claims, consumer protection claims, or intellectual property infringement claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the complete and exclusive agreement between you and UpJoyAP regarding the Apps, superseding all prior or contemporaneous understandings, agreements, or communications.
